ORDER ACCEPTANCE
All orders are subject to acceptance by MECALAB Ltd and/or its suppliers.

PRICES
All prices are net 30 days from date of quotation, unless stated, but are subject to duty and sales tax revision with which we must comply. Prices are based on quantities indicated. Any change in quantity or elimination of one or more items may require a revision in price.

ERRORS

Typographical and clerical errors are subject to correction.

TAXES
The Buyer is responsible for the ultimate payment of all taxes. Any purchase not subject to duty and/or sales taxes must be accompanied by duty-free exemption certificates and/or sales tax licence numbers in order to avoid supplementary charges of duty and/or sales taxes.

PURCHASE ORDERS
A contract will be formed only upon MECALAB Ltd acceptance of Buyer's written purchase order specifying the catalog number, description, and quantities of each product ordered, and the requested shipping dates, shipping destinations, and invoice point. No order may be terminated by the Buyer except by mutual agreement in writing.

TERMS OF PAYMENT

Canada, United States and International: net 30 days, or upon special written agreement. A 3% per month service charge will be applied to overdue accounts. Materials ordered in error are subject to a 20% restocking charge. MECALAB Ltd may cancel or delay delivery of materials in the event the Buyer fails to make prompt payment.

TRANSPORTATION
MECALAB Ltd will normally follow Buyer's instructions but reserves the right to select the means of transportation and routing when Buyer's instructions are deemed unsuitable. Unless specified by the Buyer, shipments will be made by the fastest and the most economical way, according to Canadian laws. Special handling could be pre-arranged by the Buyer in which case an additional charge may result. MECALAB Ltd assumes no liability for loss, damage or delay caused by an intermediate carrier. It is the sole responsibility of the Buyer to claim from the transporter. MECALAB Ltd will gladly assist in helping the Buyer if such claims happen.

SHIPPING SCHEDULE
MECALAB Ltd will establish shipping schedules as closely as possible in accordance with the Buyer's expressed needs and will exercise diligence in meeting these estimated dates. However, MECALAB Ltd will not be responsible for delay or loss incurred by the Buyer as a result of such delay. Failure to effect shipment as estimated will not be considered as a cause for cancellation.

DELIVERY
Shipment schedules are approximate and are based on conditions at the time of acceptance. MECALAB Ltd will make every effort to complete shipment as indicated but assumes no responsibility or liability for loss or damage by reason of delay or inability to ship caused by acts of God, fires, flood, wars, embargoes, labor disputes, acts of sabotage, riots, accidents, delays of carriers, subcontractors or suppliers, voluntary or mandatory compliance with any governmental act, regulation or request, shortage of labor, materials of manufacturing facilities, or any other cause or causes beyond MECALAB Ltd reasonable control.

PARTIAL DELIVERIES
Partial deliveries shall be accepted and paid for at contract prices on maturity of bills therefor. If any part of the material is not delivered by MECALAB Ltd or is not in accordance with the order, the order for the remainder of the material and the Buyer's obligation thereunder shall not be affected thereby.MECALAB Ltd may replace or return materials within a reasonable time after it is finally determined that the returned goods are not in accordance with the contract; and in such event, MECALAB Ltd shall not be liable for any damages arising from the defective delivery or delay caused thereby.

INSPECTION ON ARRIVAL

Our products are generally sold F.O.B. shipping point, fully insured at the Buyer's expense. The Buyer shall inspect the material immediately on its arrival and shall, within 5 days of receipt, give written notice to MECALAB Ltd of any claim for shortage or that the material does not conform with the terms of the contract. Failure to do so will bound the Buyer to accept and pay the invoice according to the terms set herein.

LOSS, DAMAGE OR DELAY IN TRANSIT
Materials will be packed for shipment in a manner suitable to the method of shipment specified by the Buyer, or to the method selected by MECALAB Ltd in the absence of instructions. All materials must be inspected upon receipt and claims should be filed with the transportation company when there is evidence of shipping damage, either concealed or external. Risk of loss or damage to materials in transit is upon the Buyer.

RETURN SHIPMENTS
The Buyer shall inform MECALAB Ltd to obtain a return authorization and shipping address before sending any products back. If materials are to be returned for no fault of ours, a 20% restocking charge will be applied. Breakage and discrepancy claims should be made within 5 working days. MECALAB Ltd will not be responsible for shortage or breakage of which it has not been informed within a week of receipt of shipment.

WARRANTY
Warranty on all items quoted will be determined by the warranty of the supplier of each item. Warranty covers labor as well as parts wherever applicable by terms of the supplier's warrantee but does not include return transportation, customs brokerage or duties if applicable on the value of the repair or replacement costs. Return shipments for repair or replacement are to be made only after receiving written shipping instructions. MECALAB Ltd cannot accept return shipments for service without having given prior approval. Neither MECALAB Ltd nor its suppliers are responsible for consequential damage.

The Buyer will assume all liability for any damage which may result from the use or misuse of the products, chemicals, accessories by the Buyer, his or its employees or by others. Only experienced and qualified researchers must use the products, chemicals, accessories sold by MECALAB Ltd.

CANCELLATIONS AND ALTERATIONS
No order accepted by MECALAB Ltd may be cancelled or altered by the Buyer except as mutually agreed in writting, upon by the Buyer and MECALAB Ltd.

INDEMNITY
The Buyer will protect and indemnify MECALAB Ltd against all claims for damages or profits arising from infringement or patents, designs, copyrights or trademarks, with respect to all goods manufactured to the Buyer's specifications.

APPLICABLE LAWS
This contract shall be construed in accordance with the laws of the Province of Quebec.
